Owner represents to Marriott and it

Owner represents to Marriott and its affiliates that: (a) it has the power, right and necessary corporate authority to execute and perform this MOU and this MOU has been properly authorized and executed by Owner; (b) no contract, agreement or other arrangement exists with any other party relating to the Hotel or the Site that could conflict with Owner’s ability to conclude any transaction contemplated by this MOU (for example, a memorandum of understanding, letter of intent, option to purchase, technical services agreement, oral agreement or course of conduct that could be construed as an agreement); and (c) all contracts, agreements or arrangements that existed or may have existed previously regarding management and branding of the Hotel (“Prior Contracts”) have been properly terminated without liability to Owner, Marriott or their respective affiliates, and such termination occurred before, and is unrelated to, Owner’s discussions with Marriott regarding this MOU. Owner acknowledges that Marriott and its affiliates have not sought or induced the termination or breach of any Prior Contracts. Owner will indemnify Marriott and its affiliates from any claim, liability, expense or damages arising out of, or in connection with, any Prior Contracts alleged by any other party to be in conflict with the transactions contemplated by this MOU. The foregoing indemnity will survive the termination of this MOU.
