whereas:
(A) The RSPO has established a set of rules and criteria for the production and use of and trade in products that contain palm-derived ingredients;
(B) The RSPO is entitled to allow licensees to use the RSPO Trademark for Product-related Communication, subject to inter alia the condition that the Licensee and the products com-ply with all rules and criteria developed by the RSPO;
(C) Licensee is a Member of the RSPO;
(D) The RSPO is prepared to grant the Licensee the right to use the RSPO trademark on the terms and conditions set out in this Agreement.
have agreed as follows:
1. Capitalised terms used in the License Agreement, insofar as not defined in the License Agreement, shall have the meanings ascribed as set out in article 1 of the Standard Terms and Conditions, included to the License Agreement as Schedule 1.
2. Subject to the terms of this License Agreement the RSPO grants the Licensee the non-transferable non-exclusive right to use the RSPO Trademark as included in Schedule 2 ("RSPO Trademark").
3. This License Agreement has been entered into for a term of one (1) year starting on 15 February 2016 ("Initial Term") and, shall be continued automatically for subsequent
terms of one (1) year ("Subsequent Terms"), unless terminated earlier as provided for in the License Agreement.
4. In consideration of the rights granted to the Licensee under this License Agreement, the
Licensee may be in the future required to pay an annual compensation for use of the RSPO trademark, as determined in the Standard Terms and Conditions.
5. All Schedules and Annexes, including but not limited to the Terms and Conditions in-cluded in Schedule 1, to this License Agreement shall form an integral part hereof.
6. Any dispute arising out of or in connection with this License Agreement, including any question regarding its existence, validity or termination shall be referred to and finally resolved by arbitration in Singapore in accordance with the Arbitration Rules of the Sin-gapore International Arbitration Centre (SIAC Rules) for the time being in force which rules are deemed to be incorporated by reference into this clause. The Tribunal shall consist of 3 arbitrators to be appointed by the Chairman of SIAC. The governing law of this contract shall be the substantive law of Singapore. The language of the arbitration shall be English.
7. Article 6 shall not limit the right of RSPO to initiate proceedings against Licensee in any other jurisdiction, nor shall it preclude RSPO from applying for injunctive relief in sum-mary proceedings before a competent court.
This License Agreement has been signed in duplicate, each of equal tenor and validity on the dates mentioned below
