MANDATE AND AUTHORITY TO ACT
THIS AGREEMENT is made on 11/10/16 Referen:e: 270661
BETWEEN Ms Van Hung (Tracy) Nguyen (referred to as 'the Client' which term includes the 'hirer' referred to in the RA) AN:
CompassCorp Pty Ltd ABN 87 098 155 152). (Referred to as 'Compass').
Whereas
A. This Agreement is NOT regulated by the Consumer Credit Code, [being an exempt agreement]. B. The Client has been deprived of the use of a vehicle as a result of an accident with another vehicle
The accident was not the fault of the Client.
The Client wishes to hire a replacement vehicle and Compass wishs to hire to the Client a replacement vehicle as near a comparable to the vehicle used by the Client upon the terms set out in this Mandate and Authority to (referred to as 'the Mandate') and in the Rental Agreement (referred to as 'the RN).
Terms:
The Client requests, and Compass agrees, that Compass (which expression shall include its servants or agents (both former and present) or subsidiaries or related companies and any of them from) hire to the Client the vehicle described in the RA in consideration of the payment of hire costs and related chargæ ['Hire Costs'] set out in the RA and for the hire period as shown on Compass's tax invoice.
As at the date of this Mandate the full Hire Costs are unkX)wn because the hire period is estimated (based on a repairer's estimate of the length of time the Client's own vehicle will be off the road). The partis accept that the total amount may differ when the actual hire period is known. The Client agreæ to be liable for that different total amount. All Hire Costs shall be noted on, and the final balan:e due will be slY)wn on the final RA which the Client acknowledges will not bear the Clients signature. Chargs are recorded in 24 hour periods.
Interest on the final Hire Costs at the rate of 18% per annum calculated on monthly rests is payable and accrues from the date of the Compass tax invoice.
Compass agrees to provide the hire vehicle to the Client on credit for a period of up to 30 days calculated from the date of the hire invoice [the 'Credit Period'] after which time the Hire Costs and associated fees, costs and disbursements touching or concerning the hire or the recovery of hire charges [collectively referred to as 'the Chargæ'] become due and payable witlY)ut further demand. After the expiry of the Credit Period Compass may recover by any means the Charges from the Client. This clause shall not merge on completion.
The Client must have a need for a replacement vehicle. The hire vehicle will only be available to the Client for the period of need [that is the period that the Clients own or replacement vehicle is unavailable to the Client or the Client no longer has a need whichever is the shorter period] after which time the Hire Period will be considered over and this Mandate and RA will be deemed terminated and the Client will be obliged to return the hire vehicle to Compass forthwith and to immediately pay all Charges.
Compass and the Client agree that the hire vehicle has been provided because the Client 's own vehicle is unroadworthy due to a road traffic accident ('the Accident') which the Client alleges on reasonable grounds was the fault of a third party (herein referred to as 'the TP").
Compass will use its best endeavours [absent the commen:ement of legal proceedins] during the Credit Period to have the Charges paid by the third party ['TP'] or the third party's insurer's [referred to as 'the TPI'] and if paid the Client will be released from liability for any so recovered provided that the Client has fully complied with the obligations imposed on the Client as set out in this Mandate and the RA.
The Client irrevocably appoints Compass, as the Client agent, representative attorney, to recover, by whatever means, including in Compass's absolute discretion, the commen:ement and carrying-on of legal proceedins in the name of the Client [referred to as 'the Recovery Process'], the Charges which Compass considerers in its absolute discretion to have reasonable prospects of recovery from the TP and to receive any such amounts and to account for them in Compass' absolute discretion. The Client understands and accepts that Compass shall appoint and give instructions on behalf of the Client to legal advisers in respect of the Recovery Process. The Client agrees to assist, and render all cooperation required by Compass in respect to the Recovery Process, which the Client acknowledges may require that the Client to provide statements and documents appear in court as a witness. This clause shall not merge on completion.
The Client warrants to Compass Corp that s/he has not relied on any promise, representation, inducement or condu:t material to the entry by him/her into this Mandate or the RA other than as expressly set out in this Mandate and the RA with respect to any aspect of the hire, the charges fees and costs or the Recovery Process and is aware that Compas
