The Buyer is prepared to pay for this Transaction a total amount equivalent to the Land value of VND13,000,000 per square metre net residential land area which is equal to VND415 billion (approx. US$19.4 million). This amount shall cover the following: 1. the acquisition of the entire Paid-up Share Capital from the Sellers for VND113 billion (approx. US$5.3 million) (the “Purchase Price”);2. the Kien Long Loan; and 3. the amount of VND102,601,589,164 deferred land use fee of the Land to the government (the “LUR Fee”).Furthermore, the Buyer shall arrange for a short term loan up to US$500,000 (the “Short Term Loan”) for the Target to pay any due interest on Kien Long Loan for the period from the issuance of the Amended BRC to the issuance of the IC (as defined below).
