5.3 Purchaser’s obligations
At Completion the Purchaser shall:
(a) produce evidence to the reasonable satisfaction of the Seller of the fulfilment of the conditions set out in Clause 2.1 and of the proper authorisation of all persons who are to sign any document with and on behalf of the Purchaser pursuant to this Agreement; and
For a period of 30 days take over period after Completion, the Seller shall be operate the Business together with new owner if required, whereby the full incomings belong to buyer, and the company as well the Tri Trang Beach Resort in Phuket.
Latest after 30 days from the Completion, the Purchaser shall cause the Seller to
cease using the name of the company/assets and cease to operate of the Business and
the Tri Trang Beach Resort /Company final discussion when takeover with the present
management, if buyer can agree with management on terms. Conditions
/payments/room rates then management will continue but in case management has
already paid in advance, the money has to be paid to buyer from the date of takeover,
in case of disagreement it is sellers responsibility and expenses to remove the
management and key personal..
