I obtain data for U.S. equity issue

I obtain data for U.S. equity issues between January 1975 and December 2007 from the Securities Data Company New Issues
Database (SDC). I exclude units, secondary offerings, issues made byfirms classified as utilities (SIC codes 4900–4949) orfinancials (SIC codes 6000–6999), andfirms with a market capitalization under $10 million. To be included in the sample of SEOs,firms
must have data available in both CRSP and Compustat. To be included in the sub-sample of follow-on SEOs, an issue must have
been preceded by an earlier offering by the samefirm. Although data are available from 1975, I start the sample of follow-on
issues from 1980. This allows the first observation to occur up tofive years after a previous SEO, thus avoiding a selection bias
that would restrict the early observations to short-term follow-on issues. My final sample consists of 5371 SEOs, of which 1476
are follow-on issues
