RECITALS:
A. Whereas the Government of New Brunswick and the Government of Canada (Canada) share
responsibilities regarding immigration to Canada through the New Brunswick Provincial
Nominee Program ("the Program").
B. And whereas the Department of Post Secondary Education, Training and Labour, Population
Growth Division administers the Program in the Province of New Brunswick.
C. And whereas PGD provides financial administration services to the Program.
D. And whereas the Program offers individuals who wish to immigrate to the Province of New
Brunswick the opportunity to be nominated by New Brunswick and potentially receive a
permanent resident visa for themselves and their dependents: and
E. Whereas the Applicant's application to the Program (the "Application") has been approved, and
a Certificate of Nomination will be submitted to Canada on their behalf, subject to the Applicant
entering into this Deposit Agreement and fulfilling the commitments set out in this Deposit
Agreement.

The parties, for good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, agree as follows:
1. The following words and phrases shall have the meanings set out below:
(a) "Business Establishment Period" means the period commencing on the date of landing
in Canada and continuing for two (2) years unless extended beyond that date under
Section 6;

(b) "Certificate of Nomination" means the certificate New Brunswick issues to Canada,
which indicates that New Brunswick has nominated the Applicant for Permanent Resident
status under the terms and conditions of the Program;
(c) "Deposit" means the payment to be made by the Applicant, and to be held by the
Province of New Brunswick, which is conditionally refundable on the conditions set out in
this Deposit Agreement;
(d) "Investment" means the acquisition, provision or injection of capital in New Brunswick,
from a Applicant's own resource;
(e) "Landing" means legally entering Canada with a Permanent Resident Visa at a
designated port of entry or Citizenship and Immigration Canada office.

2. The issuance of the Certificate of Nomination is subject to the Applicant completing the following
within 90 days from January 11, 2016.
(a) Signing and delivering this Deposit Agreement;
(b) Paying the Deposit in the amount of Seventy Five Thousand Dollars in Canadian funds,
$75,000 CAD, the payment to be made to the iVIinister of Finance;
(c) Paying required fees; and
(d) Providing other specified documents as required by the PGD.

3. The Applicant shall upon being granted permanent resident status by Canada:
(a) Notify PGD Program staff, within 30 days of Landing in Canada of his or her address and
telephone number in New Brunswick, and provide information on the progress of
establishing or purchasing the business on a semi-annual basis to PGD until the
business is established;
(b) Establish or purchase a business as outlined in the submitted Business Plan or the
Business Intention Plan (the "Business") in the Province within two (2) years of the date
the Applicant has Landed in Canada;
(c) Make an Investment of not less than $125,000 CAD in establishing or purchasing the
Business;
(d) Hold a managerial position in the Business and attend at the Business premises on a
regular basis to provide ongoing day-to-day management and direction;
(e) Comply with all Federal, Provincial and Municipal statutes, regulations and by-laws in
establishing or purchasing and maintaining the Business, including obtaining the
necessary licenses and permits from Federal, Provincial or Municipal authorities;
(f) Keep PGD regularly informed as to the status of the Business, and provide PGD with
reasonable access to information concerning the Business for the purpose of confirming
that the minimum level of Investment has been achieved;
(g) Permit PGD to review and audit the financial and accounting records of the Business and
to inspect the premises of the Business from time to time.

4. It is the responsibility of the Applicant to provide PGD with the documents listed in Schedule "A"
to this agreement. PGD reserves the right to request additional supporting documentation as
proof that the Applicant has fulfilled the commitments set out in the Deposit Agreement.

5. If the Applicant wishes to develop and operate a business other than the business described in
the approved business plan, the Applicant may submit a written request to PGD with an
alternate business plan. PGD will consider the request. PGD is under no obligation to consent
to an alternate business plan. In the event that the Applicant fails to develop and operate an
approved business within the Business Establishment Period, PGD will be entitled to retain the
deposit.

6. In the event that the Applicant is unable to establish or purchase a Business as described,
during the Business Establishment Period, the Applicant may make a written request to PGD for
