Nomination committee.A board comprising directors with an appropriate mix of skills, experience and expertise is an essential element of good corporate governance. While shareholders have the power to appoint public company directors, Recommendation 2.4 suggests that a nomination committee of the board should be established as an efficient mechanism for examination of the selection and appointment practices of the company.It is recommended that the nomination committee should have at least three members with a majority of independent directors, one of whom should be chair. Its role, responsibilities, structure and composition should be clearly set out in a charter.
