PRIVATE & CONFIDENTIAL Mr.Kobchai MnojureehakulSika (Thailand) Limited June 29 , 2015Dear Mr.Kobchai Mnojureehakul,We, Sika (Thailand) Limited ("the Company"), has regretfully accepted your resignation dated June 30, 2015.Below are the terms and conditions regarding your final payment:1. RESIGNATION EFFECTIVE DATEYour employment with the Company will be terminated with effect from June 29, 2015. You will be paid up to and including June 30, 2015. 2. ANNUAL LEAVEThe Company shall make payment in lieu of prorated annual leave. If you have taken more annual leave than entitled, the Company shall deduct from your final payment. 3. PAY-IN-LIEU OF ADVANCE NOTICE OF RESIGNATIONWe shall waive the pay-in-lieu of advance notice of resignation for the period of three months from June 29, 2015 to September 29, 2015. 4. EXGRATIA-PAYMENT You will receive a payment of THB 1,640,747 and it will be paid out in two separate payments of THB 820,373.50 on your termination date and THB 820,373.50 on September 30, 2015. The payment is subject to applicable withholding tax and any other legal levies as required by law.5. COMPANY PROPERTYApart from the items specifically agreed in writing between you and the Company, you shall not retain any documentation, equipment, records, keys or any other property belonging to the Company or related companies and you further confirm that you have not taken or retained copies of such documentation, records, keys or property and neither has anyone on your behalf. 6. RESTRAINT ON ACTIVITIES OF EMPLOYEEYou are reminded to adhere to all post-employment obligations and/or restrictions as set out in the Employment Agreement, Annex 2. You are also required to leave the Company's offices and other premises. You may be allowed to enter the Company's offices or other premises, in the presence of the Company's representative, for the purpose of collecting your personal effects only. The Company reserves its right to initiate both civil and criminal actions as a result of the abovementioned acts. Please review the foregoing carefully and sign the duplicate copy of this letter as acknowledgment of your full understanding and acceptance.
