Dear Mr. Jakub,Firstly, I would like to clarify kinds of capital in a limited liability company with sole member in Vietnam which has foreign owned capital, as follows:1. Charter capital means the total value of assets contributed or undertaken to be contributed by the company's owner when establishing the company (APS VN);2. Contributed capital for implementation of investment project means the total value of assets contributed or undertaken to be contributed by investor when establishing the investment project (APS VN) (in the limited liability company with sole member in Vietnam which has foreign owned capital, the charter capital is the concurrent the contributed capital for implementation of the project);3. Total investment capital means the capital contributed by the investor (the contributed capital for implementation of the project) + capital raised by the investor to execute the investment project (medium and long term loans,...).In APS VN, Charter capital = Contributed capital for implementation of investment project = Total investment capital = US $100,000, so, APS VN can not have any medium and/or long term loan.If APS VN does not want to pay back the loan for US $10,000 and register with The State Bank of Vietnam, you may register to convert the loan into the contributed capital for implementation of investment project. Whereby, you have to register to increase the Charter capital, Contributed capital for implementation of investment project, and the Total investment capital of APS VN, the form of the increasing capital: converting the loan.At the same time, you may register to increase the capitals of APS VN to APS HOLDINGS can transfer more money to APS VN.Should you have any query, please feel free to contact us.Best regards,
