The Board of Directors of Takaso Re

The Board of Directors of Takaso Resources Berhad ("TRB" or "the “Company") wishes to announce that the Company has on 2 October 2015 accepted a conditional Letter of Intent dated 22 September 2015 (“LOI”) from Lay Hong Berhad (“LHB” or “the Purchaser”) to consider acquiring 200,000 ordinary shares of THB 100 each in Takaso SC (Thailand) Limited (“TSC”) (the “Shares”), being 100% of the issued and paid-up share capital of TSC, from the Company (hereinafter referred to as the “Proposed Transaction”).

ความปรารถนาของคณะของกรรมการของ Takaso ทรัพยากรไฟฟ้า ("TRB" หรือ ""บริษัท") ประกาศว่า บริษัทได้ใน 2015 2 ตุลาคมยอมรับปรับค่าสีของตัวอักษรตามเงื่อนไขวัน 22 2015 กันยายน ("ลอย") จากวาง Hong ไฟฟ้า ("LHB"หรือ"ผู้ซื้อ") ในการพิจารณาได้รับหุ้นสามัญ 200000 บาท 100 ละ SC Takaso ใน (ประเทศไทย) จำกัด(มหาชน) ("TSC") ("หุ้น"), เป็น 100% ของทุนที่ออก และชำระแล้วหุ้น TSC จากบริษัท (ซึ่งต่อไปนี้เรียกว่า "เสนอธุรกรรม")

ที่ประชุมคณะกรรมการของ Takaso ทรัพยากร Berhad ("TRB" หรือ "" บริษัท ฯ ") ขอแจ้งว่า บริษัท ที่มีต่อ 2 ตุลาคม 2015 ได้รับการยอมรับในหนังสือเงื่อนไขแสดงเจตจำนงฉบับลงวันที่ 22 กันยายน 2015 (" LOI ") จากเลย์ฮ Berhad ( "LHB" หรือ "ผู้ซื้อ") เพื่อพิจารณาการเข้าซื้อหุ้นสามัญ 200,000 หุ้นละ 100 บาทใน Takaso SC (ประเทศไทย) จำกัด ("ทีเอสซี") (ที่ "หุ้น") เป็น 100% ของทุนที่ออกและเรียกชำระแล้ว ของทีเอสซีจาก บริษัท (ต่อไปนี้เรียกว่า "เสนอรายการที่เกี่ยวโยงกัน")
