CONFIDENTIALITY AGREEMENT
THIS CONFIDENTIALITY AGREEMENT is dated 0th November 2000 and is made between :
(1) ……………Co., Ltd., a company organized under the laws of Thailand and having its registered office at …………..Bangkok 10400, Thailand (Discloser)
(2) King Mongkut’s University of Technology Thonburi, having its office at 126 Pracha-utit Road, Bangmod, Thungkru, Bangkok 10140, Thailand (Recipient).
WHEREAS :
(A) The Recipient wishes to receive from the Discloser certain information relating to the Discloser’s business (Confidential Information) for the purpose of the academic cooperation between the Discloser and the Receiver (Programme).
(B) The Confidential Information is the confidential and trade secret property of the Discloser.
(C) The Discloser has agreed to disclose the Confidential Information to the Recipient for the Programme on the terms of this Agreement.
NOW IT IS HEREBY AGREED as follows:
1. Restriction
1.1 The Recipient agrees to receive, hold and maintain, in strict confidence, all Confidential Information which is disclosed to it by the Discloser and/or which is revealed to it or acquired by it provided that, all Confidential Information made available to the Recipient is and shall at all times remain the property of the Discloser.
1.2 The Recipient shall not at any time without the prior written consent of the Discloser:
1.2.1 use any of the Confidential Information otherwise than for the Programme and shall not use any of the Confidential Information for research into or development, production or marketing of any product;
1.2.2 disclose any of the Confidential Information to any third party other than students and staff of the Recipient who are required to receive and acquire the Confidential Information for the purpose of the Programme;
1.2.3 permit or procure any third party to act on or use any of the Confidential Information (whether or not such third party is aware of such Confidential Information); or
1.2.4 reproduce any Confidential Information without the Discloser’s prior written consent.
2. Scope of Confidential Information
2.1 Information shall constitute the Confidential Information for the purposes of this Agreement, irrespective of whether communicated orally or in writing by the Discloser or its employees or obtained through observations made by or on behalf of the Recipient, and that all summaries, copies and excerpts of any Proprietary Information and all tangible property shall also be considered the Confidential Information for the purposes of this Agreement.
2.2 The Confidential Information shall include but not limited to the Discloser and its group’s information relating to business, manufacturing, sale volumes, distribution, technology, finance, legal status, operation, administration, marketing, economy, plans, programmes, software, systems, products, materials, equipment, costs, prices, customers and personnel as well as other material and certain data of a secret or proprietary nature, all of which is or may be confidential to the Discloser and its group which is owned by or within a possession of the Discloser or its group.
3. Recipient’s Students and Staff
3.1 The Recipient shall ensure that its students and staff who are required to receive and acquire the Confidential Information for the purpose of the Programme shall neither:
3.1.1 use any Confidential Information otherwise that for the Programme;
3.1.2 disclose any Confidential Information to any third party; nor
3.1.3 permit or procure any third party to act on or use any Confidential Information (whether or not such third party is aware of such Confidential Information).
3.2 All students and staff of the Recipient who shall receive or have access to the
Confidential Information shall be individually subject to and shall comply with the Recipient’s obligations set out in this Agreement.
4 Return of Confidential Information
4.1 The Discloser may demand the return of the Confidential Information by notice in writing to the Recipient at any time after the Recipient has committed any breach of this Agreement.
4.2 The Recipient shall, immediately from receipt of such notice, deliver or procure the delivery to the Discloser or to its order of each and every original and copy document and thing reproducing, containing, embodying, or made according to the Confidential Information (Confidential Material), whether supplied by the Discloser or made by the Recipient or its student or staff.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Thailand.
This Agreement is entered into in the form of two duplicates, each executed by both parties and, when so executed and duly delivered, each of the duplicates shall be deemed to be an original but, taken together, they shall constitute once document.
