Clause 9 : Applicable Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of Thailand. Any dispute, differences, controversy or claim arising out of relating to this Agreement, on the breach, termination or invalidity thereof shall be settled by amicable mean as agreed by both parties. In the case that the parties shall not settled such dispute by amicable mean hereabove, such dispute, controversy or clam arising out of relating to this Agreement shall be finally brought to the court of Thailand. Where a dispute arises between the parties, which cannot be resolved by good faith, confidential commercial negotiations between the parties, within fourteen (14) days of the dispute first being notified between the parties, either party may submit the dispute to arbitration for final resolution. An arbitration shall occur in Singapore, within sixty (60) days of the dispute first being notified between the parties, and shall be conducted by one arbitrators, who’s findings and rulings shall be final and binding on the parties, and fully enforceable by a court of proper jurisdiction. The arbitration shall be conducted in English. The parties shall bare their own respective legal costs in attending the arbitration, and the parties shall split the arbitrator’s professional fees and arbitration venue fees on a 50/50 basis. The arbitration award shall be final, legally binding, and enforceable in Australian courts, and Thailand courts
