5.1 Upon receipt of the charterer's payment, the Vessel shall be ready to be physically deivered at Vung Tau, Viet Nam. The Owner shall give the Charterer the Notice of Readiness for Delivery prior to 03 (three) days of delivery. The Charterer shall either directly take over the Vessel or authorize their representatives to take over the Vessel from the Owner.

5.2 The vessel and everything belonged to her shall be delivered and taken over "as is, where is" the Owner and the Charterer shall sign and deliver, at the time of delivery, to each other the Protocol of Delivery and Acceptance confirming the date and time of delivery of the Vessel from the Owner to the Charterer.
